1. Acceptance of Terms

By accessing the NavigateEngine website and utilising our Services, you confirm that you are at least 18 years old, capable of forming a legally binding contract, and agree to comply with these Terms and all applicable laws and regulations.

2. Use of Services

NavigateEngine specialises in providing comprehensive Search Engine Marketing (SEM) services tailored to meet your business needs. Our offerings include, but are not limited to, Pay-Per-Click (PPC) Advertising, Search Engine Optimisation (SEO), Social Media Marketing, Content Marketing, and detailed Analytics and Reporting. We strive to deliver high-quality services and may update or expand our service offerings at our discretion to better serve our clients.

3. Client Responsibilities

As a client of NavigateEngine, you agree to provide accurate, complete, and timely information necessary for the effective provision of our Services. This includes, but is not limited to, access to your website, marketing materials, and any other relevant data required to optimise your SEM campaigns. You are also responsible for making payments in accordance with the payment terms outlined in our proposals or service agreements. Prompt payment ensures the uninterrupted delivery of our Services. Additionally, you agree to cooperate with our team in good faith to achieve the desired outcomes of our engagement.

4. Intellectual Property

We respect intellectual property rights, both our own and those of others. This section explains how you may use our proprietary materials and what limitations apply:

All content, designs, and materials created by NavigateEngine for the Client remain our property until full payment is received. Upon complete payment, the Client is granted a non-exclusive, non-transferable licence to use the deliverables solely for their intended purpose. Clients are prohibited from reproducing, distributing, or creating derivative works from the deliverables without obtaining prior written consent from NavigateEngine. This ensures that our creative and strategic efforts are protected while providing you with the necessary tools to enhance your business operations.

  • Ownership: NavigateEngine and its associated content, including but not limited to software, trademarks, logos, and designs, are owned by NavigateEngine or its licensors and are protected by intellectual property laws.

  • Restrictions: You may not copy, modify, distribute, or create derivative works of any part of NavigateEngine without our prior written permission. You may not reverse engineer, decompile, or disassemble the software used in NavigateEngine.

5. Payment Terms

Our fees for Services are clearly outlined in our proposals or service agreements. Payments are due as specified in the invoice or agreement, and late payments may incur interest charges in accordance with Australian law. We strive to maintain transparency in our billing practices and will notify you of any changes to payment schedules or fees in advance. Refunds are provided at our sole discretion and are subject to the terms specified in the service agreement. Should you have concerns regarding billing or require clarification on charges, please contact us promptly to resolve the matter.

6. Confidentiality and Data Protection

Both parties are committed to maintaining the confidentiality of any proprietary or sensitive information exchanged during the course of our engagement. We will not disclose your confidential information to any third parties outside of selected contractors (of which we retain the right to utilise at will, and assume responsibility for) without your explicit consent, except as required by law. This commitment extends to all data and materials provided by you, as well as those generated through our Services. We implement robust security measures to protect your data and ensure that it is used solely for the purposes of delivering our Services to you.

7. Limitation of Liability

To the fullest extent permitted by Australian law, NavigateEngine shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or related to your use of our Services. Furthermore, clients agree to indemnify, defend, and hold harmless NavigateEngine, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our Services or violation of these Terms. This mutual indemnification ensures that both parties are protected against potential legal claims related to the engagement.

8. Changes to Terms

Landin reserves the right to modify or update these Terms at any time. Any changes will be posted on this page, and the updated date will be reflected at the top. Your continued use of the platform after any modifications constitutes acceptance of the updated Terms.

Regarding engagements, either party may terminate the engagement with written notice if the other party breaches any material term of these Terms and fails to remedy such breach within 30 days after receipt of notice. Termination does not absolve the Client of the obligation to pay for Services rendered up to the termination date. Upon termination, all licences granted to the Client will cease, and the Client must immediately discontinue using any deliverables provided by NavigateEngine.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms constitute the entire agreement between you and NavigateEngine regarding your use of our Site and Services and supersede all prior agreements and understandings, whether written or oral. This ensures clarity and prevents any misunderstandings regarding the scope and limitations of our engagement.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Queensland, Australia, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good faith negotiations between the parties. If the dispute cannot be resolved amicably, it shall be submitted to the exclusive jurisdiction of the courts located in Queensland, Australia. This clause ensures that any legal matters are handled in a predictable and fair manner under Australian law.
